Malta Company Registration Key Requirements 

To open a company in Malta, the following conditions must be met:

Company Name Approval: The chosen name must be approved by the Malta Business Registry (the official registry of companies in Malta) and be clearly distinguishable from existing entities.
Company Director: At least one director must be appointed (can be an individual or a corporate entity provided that it holds the necessary authorisation). The director does not need to be a resident in Malta.
Company Secretary: A company secretary is mandatory for all private limited companies. The company secretary does not need to be a resident in Malta.
Registered Office in Malta: Every company must maintain a registered address within Malta.
Memorandum & Articles of Association: An essential document that needs to be prepared as part of the company registration process is the memorandum and articles of the company to be registered in Malta. This document will contain the essential details of the company and must be subscribed for by all the members of the company. The company will be officially registered in Malta once this is processed and the Registrar issues a certificate of registration in respect thereof.
Statutory Forms: In cases where the company has one or more corporate shareholders, it is required to disclose who ultimately owns or controls the company through a statutory form that needs to be submitted to the Malta Business Registry. Other statutory forms are required to be submitted at the company registration process such as the statutory form containing a declaration by the proposed director/s regarding their appointment. 
All applications are filed online, and most companies are registered within 2 to 3 working days if all documentation is in order.
